Loi (Letter of Intent)

A letter of intent or LOI is a document outlining an agreement between two or more parties before the agreement is finalized. The concept is similar to the so-called heads of agreement. Such agreements may be Asset Purchase Agreements, Share Purchase Agreements, Joint-Venture Agreements and overall all Agreements which aim at closing a financially large deal. LOIs resemble written contracts, but are usually not binding on the parties in their entirety. Many LOIs, however, contain provisions that are binding, such as non-disclosure agreements, a covenant to negotiate in good faith, or a â€Å"stand-still† or â€Å"no-shop† provision promising exclusive rights to negotiate. An LOI may also be interpreted as binding the parties if it too closely resembles a formal contract. The purposes of an LOI may be treated as: to clarify the key points of a complex transaction for the convenience of the parties * to declare officially that the parties are currently negotiating, as in a merger or joint venture proposal * to provide safeguards in case a deal collapses during negotiation An LOI may also be referred to as a memorandum of understanding (MOU), term sheet or discussion sheet. The different terms reflect different styles, but do not indicate any difference under law. A contract, in contrast, is a legal document governed by contrac t law. There is however a specific difference between an LOI and MOU, whereby an LOI is the intent from one party to another and does not in this case have to be signed by both parties, whereas an MOU is an agreement between two or more parties, which should be signed by all parties to be valid. Marc Antony’s Soliloquy: An Analysis

My transformation of the Shakespearean text employs many different grammatical features to create an effective, modern version of Marc Antony’s soliloquy. Features such as nominalisation, paragraphing and abstract noun groups are a few of the features used. My transformation is suitable for modern audiences, using both language and people that today’s society is familiar with. My transformed version of the soliloquy uses many grammatical techniques and features to make it as interesting and grammatically correct as possible, whilst making it a piece of writing that people today are used to reading and/or hearing. Nominalisation is an important grammatical feature, which allows you to increase the levels of linguistic complexity as the text becomes more abstract, through leaving out the action of the nominalised verb. Words like ability, possibly and determination are all examples of nominalisation, and give more meaning into a sentence without needing to make the sentence longer than necessary. Overall, this gives the text as a whole more depth and meaning. The paragraphing used sets out the different ideas being introduced into the text, organising them into different paragraphs where all the ideas flow together. Sentence structures tie together the text, ensuring that ideas flow and it is more interesting for the reader. Using different sentence types, like compound and complex, mixes up the text a bit and keeps readers engaged as they continue to read the text. Obviously, people are more likely to continue to read something if they are interested in it, and I wanted my speech to engage readers and listeners. Clause combinations help to set out and organise ideas nicely, using different types of sentences to again create interest. I have used abstract noun groups to involve the listeners in the text, letting them connect with the speech through them using their pre-conceived ideas of what the words mean. Abstract nouns, being things that you can’t actually see or touch, means that listeners have to substitute in what their meaning of the word is, therefore making them think about the text more. I wanted my speech to make people think, and the use of abstract nouns helps to achieve that. Abstract noun groups such as ‘kind-hearted and generous, strong willed and fair’ are examples of this. When I first started the modern version, I had in my mind a clear image of what I wanted it to be like. With using the different techniques and features, I believe I’ve reached my idea of what I wanted. One of the hardest things that I was faced with when I started to re-write the soliloquy was who to write about, and who’s perspective to write from. After a lot of thought, I finally decided on Margaret Thatcher and Tony Blair. I thought that it would be a good fit, for numerous reasons. Both Caesar and Thatcher were controversial people. Both had their lovers and their haters, and there was never really an in between. They were both major political figures of their time, and had large effects on their society during their rein. Not only did I feel they shared many similarities, but I’ve always been interested in Thatcher. It seems that both Caesar and Thatcher were very strong-willed, and knew exactly what they wanted. In Antony’s speech, he was mainly paying tribute to Caesar, and I knew that a figure such as Tony Blair would do the same for Thatcher. Having both speeches set at a funeral made sure that similarities were kept, same as the references to ‘after a person dies, the bad is remembered and the good forgotten’. Whilst I tried as much as I could to modernise the text, I tried to keep it quite formal. This is obviously because the speech is being performed by an ex-Prime Minister at another ex-Prime Minister’s funeral, which is quite the formal occasion. In the Shakespearean version, Antony talks about how Brutus says that Caesar is an honourable man, but he believes differently. In my version, Blair speaks about how many people often loathed Thatcher. In this, I have both similarities and differences. The language I have used is more modern, employing slang and generally newer ways of speaking. Overall, I’m very happy with my transformation of the Shakespearean text. The different grammatical features used has made the soliloquy very effective. My version is suitable for modern readers, and follows the basic storyline the original soliloquy uses.

Student Leaders Assembly Essay Sunday, August 15 2010, marked the first day of the Student Leader’s Assembly of both the High School and College departments of the different Don Bosco schools who participated in the said event. They were composed of the student council and the different officers of the clubs and organizations of both levels in the different schools. It was a truly wonderful experience for them since it fostered team building and getting to know each other again after a long time. The event was held at Don Bosco Tarlac, since they were selected as the host of the said event. By the time the participants arrived at Don Bosco Tarlac, they were asked to register their names and put their bags in their assigned rooms. After the facilitators mentioned the rules, they already felt at home in the school since it brings an â€Å"aura† per se, of their school, since it the place was also a Don Bosco school. There was a time when the participants were given time to freshen up before they were ordered to go to the gym for the program to take place. The participants were asked to seat at a certain group according to the number designated on their ID’s. The program started with the raising of the Bosconian Insignias in the different Don Bosco schools while having someone who seemed to be a Bosconian â€Å"bunso† sing the song â€Å"Di Ka Nag-iisa†. It was a very breathtaking experience, because the people were astounded at what a Bosconian â€Å"bunso† could do, at such a young age. The raising of the insignias was followed by the singing of the National Anthem and the opening prayer entitled â€Å"The Prayer†, led by the two selected participants representing Don Bosco Technical College, Mandaluyong. The opening ceremonies of the different insignias ended with a basking applause from the participants. The actual program started with the game called â€Å"Blind Barthemeus†, where a leader would be in charge of asking the other participants some questions while the rest are blindfolded. After getting to know each other as a group, the next game called the â€Å"Game of Life†, was initiated shortly. The instructions were given, and a â€Å"map† of some sort was distributed to each group. They were assigned to make a 3-feet tall tower made of the materials they are going to gather at the different places that were designated in the map, from barbecue sticks and chewing gum to popsicle sticks and lumps of clay. Everything was going well, but after a short while, the rain fell down, slowly but surely. The participants didn’t stop, and so did the rain. But when the rain poured down heavily, most of them fled to the nearest building to take cover from the rain. This goes to show that Bosconians won’t be easily discouraged to abandon their duties just because of some minor distractions or disruptions. The rain still poured down heavily and the PA announced that all Bosconians should dry themselves and wash up, since most, if not all the participants, got wet during the game. The game was suspended, but they were asked to hold on to their materials for later use. It was nighttime when the participants finished perking up and eating dinner. They were requested to go to the Big Chapel for the continuation of the program, since the gym was flooded. The program resumed, and at that time, Mr. JC Delos Reyes was the speaker. He talked about the roles of a leader and what leaders should really do and symbolize. After the talk, the different Don Bosco schools presented their dance numbers and presentations. Everyone performed well. One of the performers even performed an impromptu script, because of the delayed performance of the whole group. Nevertheless, it was a â€Å"lo and behold† sight to see, since everyone gave it their best shot in the presentations. After the dance presentations, the students were asked to go outside the chapel for the fireworks display. After a while, numerous flashing and colorful displays of fireworks amazed the participants during that night. Finally, the students were asked to go to their designated rooms and sleep. It was morning when one of the songs of Don Bosco was played to wake the participants up, although some already did way before the PA played the song. Some took a bath, while others washed up to feel fresh. Breakfast was soon served, and the mass was then celebrated afterwards. The music ministry was led by the students of Don Bosco Technical College. After the mass, the principal, Fr. Jay, gave the closing remarks and then dismissed all the students. Of course, the merienda was served before they all left the school. Everyone left knowing that they learned something not only from their school but also from someone from a different setting. It is true that the best teacher that anyone could have is experience, but it really depends on the person. If the person is eager to learn, then he would strive to become successful by learning from his mistakes in the past, therefore making use of his experiences. If the person is unwilling, then his experiences would mean nothing since he did not apply what he had encountered in the past. That goes the same with the participants back then. They not only learned the true meaning of being a leader and what it takes to be one, they also learned the value of experiences through communication and camaraderie.

Pilate, who is a sensible and experienced man, is perplexed as to what Jesus has done to warrant a meeting with him. After a short exchange between the two men, we begin to see truth in two different ways. On the one hand, Jesus has a very firm idea (18:37): You are right in saying I am a king. For this reason I was born, and for this I came into the world, to testify to the truth. Everyone on the side of truth listens to me. To which Pilate merely replies: What is truth? as if to say, You think truth exists independently of everyone as a standard by which we can judge our beliefs?[1] The question, what is truth, is central to everyday life and the ways of knowing help us begin to answer it. When you know something, you are certain about it and have no doubts regarding the matter; when you believe something, you merely think it is true and are not completely certain about it. There are many things that people assume are true but a quick look at specific ways of knowing might prove otherwise. The ways of knowing-language, perception, reason and emotion-serve to distinguish the truth and remind people that some claims arent meant to be taken at face value. There are many types of perception. Nave realism is a view of perception that asserts that we directly perceive the world as it is. Objects are simplified; the way that things smell, look, taste, sound and feel is how they smell, look, taste, sound and feel.
